This document is an electronic record under the provisions of the Information Technology Act, 2000 and the rules framed thereunder, as applicable and amended from time to time. This electronic record is generated by a computer system and does not require any physical or digital signatures.

This document is published in accordance with Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, requiring publication of rules, regulations, privacy policy, and user agreements for access or usage of the websites www.morismedia.com, www.morismedia.in, www.morismedia.ae, www.morismedia.us, www.morismedia.uk, www.morismedia.pk and any mobile applications or digital platforms operated by Moris Media.

The term “Moris Media Private Limited” refers to a company incorporated under the Companies Act, 2013, having its registered office at Ground Floor, 1554, Pearl, Madurdaha, Kolkata, West Bengal, India – 700107, along with its subsidiaries, affiliates, directors, employees, agents, representatives, consultants, and subcontractors.

The term “Platform” refers collectively to all websites, mobile applications, digital interfaces, portals, tools, dashboards, APIs, CRM systems, AI platforms, communication tools, and services currently offered or to be offered by Moris Media.

These Terms & Conditions, along with the Privacy Policy, Intellectual Property Rights Policy, Refund Policy, and any additional guidelines referenced herein, together constitute a legally binding agreement between the User and Moris Media.

All intellectual property rights related to the Platform vest exclusively with Moris Media unless explicitly stated otherwise.

Terms of Use

For the purposes of these Terms of Use, the terms “User”, “you”, or “your” shall mean any natural person or legal entity accessing or using the Platform, whether registered or unregistered, including accounts that have expired or been terminated. The terms “we”, “us”, or “our” refer to Moris Media.

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE PLATFORM.
BY ACCESSING, BROWSING, REGISTERING, OR USING ANY SERVICE ON THIS PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS.

If you do not agree to these Terms, you must not access or use the Platform or its services.

Acceptance of these Terms is a mandatory condition for using the Platform. These Terms supersede all prior agreements, communications, or understandings between you and Moris Media.

Moris Media reserves the right to modify, amend, update, or replace these Terms at any time without prior notice. Continued use of the Platform constitutes acceptance of the revised Terms.

Introduction

Moris Media operates as a global public relations, reputation management, and digital communications service provider. The Platform facilitates information exchange, service discovery, consulting engagements, campaign execution, digital tools, and advisory services for Users worldwide.

The Platform functions as a service facilitation environment and does not guarantee outcomes, results, or performance of third-party service providers listed or referenced on the Platform.

Scope of Services

The Platform provides a need-fulfilment and professional services ecosystem enabling Users to connect with Moris Media or with third-party service providers. Listings, service descriptions, and offers are published by Users or service providers and not by Moris Media itself.

Moris Media does not independently verify every listing, service description, pricing claim, or representation made by third parties and shall not be responsible for accuracy, legality, or quality of such offerings.

Membership Eligibility

You confirm that you are at least 18 years of age and legally competent to enter into binding contracts under applicable laws. You confirm that you are not barred from using the Platform under any applicable law.

Registration may be required to access certain features. By registering, you agree to provide accurate, complete, and up-to-date information.

Moris Media reserves the right to suspend or terminate accounts where information is found to be false, misleading, outdated, or incomplete.

Each User is responsible for maintaining confidentiality of login credentials and all activities conducted through their account.

Confidentiality

Certain non-public, proprietary, or confidential information may be disclosed between parties in the course of using the Platform. Such information shall be treated as confidential unless it becomes publicly available through lawful means.

Confidential information excludes information already known to the receiving party, independently developed information, or information legally obtained from third parties.

Users agree not to disclose confidential information except where required by law or with prior written consent.

Unsolicited Communication and Misuse

Users may not use the Platform to send unsolicited emails, spam, spoofed communications, or impersonate any person or entity. Misuse of communication systems, including fake emails, fraudulent representations, or deceptive practices, is strictly prohibited.

Warranties

Each party represents that it has the legal authority to enter into this Agreement and that its actions do not violate applicable laws or third-party rights.

Moris Media does not warrant uninterrupted or error-free access to the Platform.

Indemnification

Users agree to indemnify and hold harmless Moris Media, its directors, officers, employees, and affiliates from any claims, losses, damages, liabilities, or expenses arising out of misuse of the Platform, violation of these Terms, or infringement of third-party rights.

Third-Party Links

The Platform may contain links to third-party websites. Moris Media does not control or endorse such websites and shall not be responsible for their content, accuracy, or availability.

Accessing third-party websites is at the User’s own risk.

Registration and Account Use

Registration constitutes acceptance of these Terms. Users must provide accurate information and may update or close accounts by contacting hello@morismedia.in. Account closure requests are processed within a reasonable timeframe.

Communications and Call Recording

Calls and communications may be recorded for quality assurance, training, and legal purposes. By using the Platform, you consent to such recording.

Users agree to receive service-related communications via call, SMS, or email, irrespective of NDNC registration.

Cookies and Technical Data

The Platform uses cookies and similar technologies to enhance user experience, analyse usage, and improve services. Technical data such as IP address, browser type, and device information may be collected automatically.

Accessing and Transmitting Platform Content

All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, data compilations, software, and other materials available on the Platform, whether created by Moris Media or contributed by Users, collectively constitute “Content”.

Except where expressly permitted, no Content may be copied, reproduced, modified, distributed, transmitted, displayed, performed, published, licensed, or used for commercial or non-commercial purposes without prior written consent of Moris Media.

Any unauthorised downloading, scraping, crawling, mirroring, data mining, or automated extraction of Content shall be deemed a violation of these Terms and applicable laws. Moris Media reserves the right to initiate legal proceedings and claim damages.

Users may share URLs for private, non-commercial reference, provided such sharing does not misrepresent ownership or origin of Content.

User-Generated Content and Contributions

The Platform allows Users to submit content including articles, reviews, feedback, images, opinions, and other materials.

By submitting content, the User confirms that they own all rights to such content or have lawful authority to submit it.

The User grants Moris Media a perpetual, irrevocable, worldwide, royalty-free, transferable license to use, publish, modify, distribute, archive, syndicate, and display such content across all present and future media formats.

Once published, content becomes part of the Platform’s permanent archive and may not be revoked. Moris Media reserves the right to edit, moderate, or remove content at its discretion without prior notice.

No monetary compensation shall be payable for User contributions.

Prohibited Conduct

Users shall not host, upload, publish, transmit, or share any content that is unlawful, defamatory, abusive, threatening, obscene, fraudulent, misleading, discriminatory, or violative of third-party rights.

Users shall not impersonate any person or entity, forge headers, manipulate identifiers, distribute malware, or disrupt platform functionality.

Repeated posting of promotional material, spam, chain letters, or solicitation outside permitted channels constitutes abuse and may result in immediate account termination.

Forums, Messages, and Public Communication

Forums and message boards are public spaces. Communications are not private and may be reviewed, moderated, or removed.

Moris Media does not endorse opinions expressed by Users and disclaims responsibility for User communications.

Flooding, harassment, threats, profanity, or repeated posting may result in account suspension or termination.

Platform Availability and Service Use

Moris Media does not guarantee uninterrupted access to the Platform. Temporary disruptions may occur due to technical, operational, or external factors.

The Platform may be modified, suspended, or discontinued at any time without liability.

Users acknowledge that errors or inaccuracies may exist and agree to notify Moris Media for correction.

Responsibility of Platform Visitors

Users are responsible for protecting their systems against malware and harmful content.

The Platform may contain content that some Users find objectionable. Access is at the User’s discretion and risk.

Moris Media disclaims liability for harm resulting from reliance on Platform content or third-party services.

Advanced Consulting and Premium Accounts

Certain features require subscription-based Premium Accounts.

Users are responsible for maintaining account security and all activities conducted through their account.

All charges incurred under a Premium Account are the sole responsibility of the account holder.

Local Service Need Fulfilment Platform

Moris Media acts solely as a facilitator. Transactions occur directly between Users and service providers.

Moris Media does not mediate disputes, guarantee performance, or validate service quality.

Users agree that Moris Media bears no liability for service delays, failures, disputes, damages, or losses.

Payments

Payments may be made online through authorised payment gateways or directly to service providers.

Moris Media acts as a facilitator and does not operate as a bank, trustee, or financial institution.

All transactions are principal-to-principal between Users and service providers.

Moris Media is not liable for payment failures, gateway errors, banking delays, or unauthorised transactions beyond its control.

Refunds and Cancellations

Refunds are governed strictly by the Refund Policy applicable to the specific service or campaign.

Campaign cancellations within seven days of activation may be eligible for refund subject to applicable deductions.

No refunds shall be processed beyond thirty days from campaign activation.

All refund requests must be submitted in writing from the registered email address.

Intellectual Property

All trademarks, logos, service marks, and brand assets are owned by Moris Media unless otherwise stated.

Users are not granted any ownership rights to Platform intellectual property.

Unauthorised use of Moris Media branding is strictly prohibited.

Disclaimer of Warranties

The Platform and all services are provided on an “as is” and “as available” basis.

Moris Media disclaims all warranties including merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Moris Media does not guarantee results, outcomes, rankings, or performance.

Limitation of Liability

To the maximum extent permitted by law, Moris Media shall not be liable for indirect, incidental, consequential, punitive, or special damages including loss of profits, data, goodwill, or business interruption.

Maximum liability, if any, shall not exceed the amount paid by the User for the specific service giving rise to the claim.

Indemnification

Users agree to indemnify and hold harmless Moris Media against all claims arising from misuse, violation of laws, infringement of rights, or breach of these Terms.

These obligations survive termination.

Jurisdiction and Dispute Resolution

This Agreement is governed by the laws of India.

Disputes shall first be attempted to be resolved through mediation. If unresolved within thirty days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.

Arbitration shall be conducted in Kolkata, India, in English, by a sole arbitrator appointed by Moris Media.

Courts in Kolkata shall have exclusive jurisdiction.

Claims must be filed within one year of occurrence.

Severability

If any provision is held unenforceable, remaining provisions shall remain valid and enforceable.

Termination

Moris Media reserves the right to terminate access, suspend accounts, or remove content without notice for violation of these Terms.
